Welcome to GameNight ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the GameNight platform, including our website at getgamenight.app, mobile applications, and related services (collectively, the "Service").

By accessing or using GameNight, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

1. Who We Are

GameNight is operated by GameNight Labs, LLC, an Ohio limited liability company ("Company"). GameNight helps players and hosts find, create, and manage game night events while allowing local venues and businesses ("Partners") to promote their events and connect with players.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By using GameNight, you represent that you meet these requirements.

3. Accounts

• You may be required to create an account to use certain features.
• You are responsible for maintaining the confidentiality of your account and for all activity under it.
• You agree to provide accurate, current, and complete information.
• We may suspend or terminate your account if we suspect any unauthorized use or violation of these Terms.

4. Partner Accounts and Paid Tiers

Partners (such as bars, cafés, breweries, or game shops) can register to list and promote events through GameNight.

• Free Tier: Basic listing features to promote events.
• Paid Tiers: Enhanced visibility, analytics, and marketing tools. Pricing and features are displayed at the time of purchase and may be updated periodically. By subscribing, you authorize recurring billing according to your selected plan unless canceled.
• Cancellations can be made anytime and take effect at the end of the billing cycle. Refunds are not typically issued unless required by law.

5. User and Event Hosting Features

Hosts and players can use GameNight to:

• Discover and join local events.
• Create private or public events.
• Invite others via shareable links or messages.

By creating or joining an event, you agree to follow the event rules set by the host or venue and to act respectfully toward others.

6. Acceptable Use

You agree not to:

• Use the Service for unlawful or harmful purposes.
• Impersonate another person or entity.
• Post false, misleading, or inappropriate content.
• Attempt to access systems, data, or areas not intended for you.
• Interfere with or disrupt the Service's functionality or security.

7. User Content

• You may post or upload content (such as event descriptions, messages, or images).
• You retain ownership of your content but grant GameNight Labs, LLC a worldwide, non-exclusive, royalty-free license to use, display, and promote that content in connection with providing the Service.
• We reserve the right to remove content that violates these Terms or our community guidelines.

8. Intellectual Property

• All trademarks, graphics, logos, and software used in the Service are owned by or licensed to GameNight Labs, LLC.
• You may not copy, modify, distribute, sell, or lease any part of our Service without our written permission.

9. Payments and Billing

Partner subscriptions and other paid services are processed through third-party payment providers.

You agree that:

• Prices may change, and we'll notify you before significant changes.
• Taxes may be added where applicable.
• GameNight Labs, LLC is not responsible for payment processing errors caused by third-party providers.

10. Termination

We may suspend or terminate your account at any time if you:

• Violate these Terms.
• Engage in fraudulent or abusive behavior.
• Harm the integrity of the platform or its users.

You may stop using GameNight at any time by deleting your account or ceasing use of the Service.

11. Disclaimer of Warranties

• GameNight is provided "as is" and "as available."
• We make no guarantees about the availability, security, or accuracy of the Service.
• You use GameNight at your own risk.

12. Limitation of Liability

To the maximum extent permitted by law, GameNight Labs, LLC is not liable for:

• Indirect, incidental, or consequential damages.
• Loss of data, revenue, or goodwill.
• Any disputes between users or between users and partners.

Our total liability for any claim shall not exceed the amount you paid (if any) for the Service during the prior six months.

13. Indemnification

You agree to indemnify and hold harmless GameNight Labs, LLC and its affiliates, employees, and contractors from any claims or damages arising out of your use of the Service, violation of these Terms, or infringement of third-party rights.

14. Changes to the Terms

• We may update these Terms from time to time.
• If we make material changes, we'll notify you via the app or by email. Continued use of the Service after updates constitutes your acceptance of the revised Terms.

15. Governing Law

• These Terms are governed by and construed under the laws of the State of Ohio, without regard to conflict of law principles.
• Any disputes shall be handled in the state or federal courts located in Ohio, United States.
